    Legal checklist for Mauritius company registration 

    Company name and type: 

    • Ensure that the name proposed for incorporation is available before you incorporate the company. You can reserve a name by completing and submitting “Application for Reservation of a Company Name” (Form 11) at the Registrar of Companies. 
    • Choose one of the following business structures available under the Companies Act 2001 such as a domestic company, or a company holding a Category 1 or Category 2 Global Business License.

    • Foreign companies wishing to establish a place of business in Mauritius shall register a branch within one month. 
    • Attach a certificate of notice of reservation of name. 
    • Attach an authenticated copy of the Certificate of Incorporation or equivalent document. 
    • Attach an authenticated copy of the company’s constitution or memorandum and articles. 
    • Attach a list of directors showing full names, residential addresses and occupations. 
    • Submit a memorandum of appointment or power of attorney executed by the foreign company appointing two local authorized agents on the branch with the written consent of such agents. 
    • Give notice of the registered office in Mauritius. 

    Fees: 

    • Pay the incorporation fee as prescribed. 

    Other requirements: 

    • Comply with the Companies Act 2001 and the Business Registration Act 2002. 
    • Maintain transparency and efficient monitoring of all businesses. 
    • If registering as an authorized company, appoint an incorporation agent in Mauritius. 
    • All documents must be in English. If not, provide certified translations. 
    • Maintain adherence to specific regulations regarding a corporate bank opening in a domestic Mauritian Bank
